Legal
Legal, regulatory & corporate governance disclosure.
Last updated and effective November 6, 2026. “GDA Group,” “GDA Capital,” “GDA,” “the firm,” “we,” “us” and “our” refer collectively to GDA Group / GDA Capital and its operating subsidiaries and proprietary holding vehicles.
1
Corporate identity and scope of operations
GDA operates strictly as a principal growth enterprise, private equity holding company, venture studio, and strategic management consultancy. The firm’s commercial activities are confined to: deploying proprietary, balance-sheet capital into early-stage, growth, and distressed technology ventures; direct operational incubation, technology engineering, and corporate restructuring of controlled or affiliated portfolio assets; and providing strategic, non-registrable management consulting, tokenomics modeling, corporate development advisory, and transaction architecture services to sovereign, institutional, and enterprise clients.
GDA does not operate a public investment fund, does not solicit or manage pooled retail or third-party limited partner (LP) capital, and does not conduct business as an open-end or closed-end investment company.
2
Statutory non-banking disclosure (Bank Act compliance)
GDA is not a bank, trust company, loan company, or deposit-taking institution. GDA is not chartered, regulated, or authorized as a Schedule I, Schedule II, or Schedule III bank under the Canadian Bank Act (S.C. 1991, c. 46), nor is it regulated by the Office of the Superintendent of Financial Institutions (OSFI) or insured by the Canada Deposit Insurance Corporation (CDIC).
GDA does not accept, solicit, receive, or hold retail deposits, consumer savings, or client escrow accounts. Any historical or colloquial self-description referencing “merchant banking” or “merchant bank capabilities” refers strictly to the historic, non-depository European model of deploying proprietary corporate equity alongside strategic advisory services, and must not be interpreted as an assertion, representation, or holding out of GDA as an authorized banking institution under Section 983 of the Bank Act.
3
Securities non-registrant status (OSC, CSA, SEC & FINRA)
GDA is not a licensed, registered, or regulated securities entity in any jurisdiction. In Canada, GDA is not registered in any capacity — including as an Investment Dealer, Mutual Fund Dealer, Exempt Market Dealer, Restricted Dealer, Portfolio Manager, Restricted Portfolio Manager, or Investment Fund Manager — with the Ontario Securities Commission (OSC), the Canadian Securities Administrators (CSA), or the Canadian Investment Regulatory Organization (CIRO), and does not engage in the business of trading, underwriting, or advising on securities for a business purpose under National Instrument 31-103.
In the United States, GDA is not registered as a broker-dealer under Section 15 of the Securities Exchange Act of 1934, nor as an investment adviser under the Investment Advisers Act of 1940, and is not a member of the Financial Industry Regulatory Authority (FINRA) or the Securities Investor Protection Corporation (SIPC). Internationally, GDA does not hold licenses under the UK Financial Conduct Authority (FCA), the Dubai Financial Services Authority (DFSA), the Virtual Assets Regulatory Authority (VARA), the Australian Securities and Investments Commission (ASIC), or any equivalent global financial supervisory authority.
GDA does not act as an underwriter, placement agent, finder, bookrunner, broker, clearing agency, or market maker for third-party public offerings, private placements, or secondary market trades. GDA’s advisory engagements are strictly confined to strategic technology design, corporate organization, and corporate advisory, and do not include the execution, solicitation, or clearing of securities transactions.
4
Absolute exclusion of custody & financial intermediation
At no point does GDA take custody, possession, control, or operational management of third-party, client, or user fiat currencies, fiat-backed reserves, securities, or cryptographic assets; execute buy, sell, or swap orders on behalf of retail or institutional clients; or operate an exchange, multilateral trading facility, alternative trading system (ATS), or electronic marketplace. All corporate funding, capital contributions, and venture acquisitions are funded exclusively via proprietary balance-sheet assets or structured corporate debt.
5
Transaction tombstones, case studies & intellectual property
Transaction summaries, deal tombstones, case studies, and corporate development milestones displayed on gda.group (collectively, “Historical Case Summaries”) are maintained solely for factual transparency and descriptive portfolio tracking. They depict past corporate development mandates, advisory engagements, joint ventures, or principal balance-sheet incubations executed by GDA, its founding principals, or its affiliates. Publication of a transaction tombstone does not imply an active offering, a continuous agency relationship, or an endorsement by or of any referenced third-party entity.
All trademarks, commercial marks, trade names, service marks, and logos appearing on this site belong to their respective statutory owners. Any reference to corporate names, institutional brokerages, gaming titles, protocols, or enterprise platforms is conducted strictly under the doctrine of nominative, descriptive fair use to identify historical commercial collaborations, or under explicit historical contractual permissions. Where a past corporate transaction was completed under strict institutional non-disclosure standards, client identifying details have been anonymized or blinded in accordance with standard institutional advisory standards.
6
No investment, legal, or tax advice; no solicitation
Nothing on gda.group — including research reports, sector commentary, tokenomics breakdowns, leadership profiles, or historical metrics — constitutes an offer to sell, or a solicitation of an offer to buy, any security, digital asset, equity instrument, derivative, commodity, or investment contract; personalized investment, portfolio management, financial, tax, accounting, or legal advice; or a prospectus, offering memorandum, private placement memorandum, or formal disclosure document under Canadian provincial securities acts, the U.S. Securities Act of 1933, or foreign securities laws.

Forward-looking statements & projections
Certain statements published across gda.group constitute “forward-looking statements” or “forward-looking information” within the meaning of Canadian securities legislation and the United States Private Securities Litigation Reform Act of 1995. Statements addressing future operational milestones, software releases, ecosystem valuations, enterprise rollups, or strategic initiatives are inherently subject to significant business, economic, regulatory, and competitive uncertainties. Actual performance, adoption rates, or corporate milestones may differ materially from those projected, and GDA undertakes no statutory or commercial duty to publicly revise, update, or correct forward-looking statements, whether as a result of new market data, future events, or evolving legal frameworks.
